This End User License Agreement ("EULA") is a legal agreement between you (an individual or entity, "Licensee") and CleanShotHQ LLC, a New Jersey limited liability company ("Licensor"), for the use of the CleanShot Road Intelligence software, including the CleanShot.exe executable, associated APIs, and any related documentation (collectively, the "Software").

By downloading, installing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not download or use the Software.

Subject to your compliance with this EULA and maintenance of an active, paid subscription (or active trial period), CleanShotHQ LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

(a) Install and use the Software on the number of devices permitted by your subscription plan (Owner-Operator: 2 devices; Small Fleet: up to 10 devices; Mid Fleet: up to 30 devices; Founding Member: 2 devices).

(b) Use the Software solely for your internal trucking operations and road safety purposes.

This license does not grant you any ownership rights in the Software. You are licensing the Software, not purchasing it.

You may not, and may not permit others to:

(a) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;

(b) Modify, adapt, translate, or create derivative works based on the Software;

(c) Copy, redistribute, sell, resell, rent, lease, sublicense, or transfer the Software or your license key to any third party;

(d) Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;

(e) Use the Software to develop a competing product or for any purpose that infringes CleanShotHQ LLC's rights;

(f) Share, post, or disclose your license key beyond the number of installations permitted by your plan;

(g) Use the Software in any manner that violates applicable laws or regulations, including FMCSA regulations.

Full access to Software features requires an active, paid subscription processed through Stripe. Upon expiration or cancellation of your subscription, your license to use the Software terminates automatically, though the executable may remain on your device.

The 30-day free trial grants full feature access during the trial period under the same terms. No credit card is required to start a trial.

CleanShotHQ LLC reserves the right to revoke access from any licensee who violates this EULA, without refund of fees paid.

The Software uses hashed device identifiers to enforce per-plan installation limits. Attempting to circumvent these limits through device spoofing, virtualization, or other means constitutes a material breach of this EULA and may result in immediate account termination.

Activation on a new device may require email verification (OTP) as a security measure. This is by design and protects your account against unauthorized use.

The Software, including all code, algorithms, hazard detection models, data integration logic, interface design, and documentation, is the exclusive property of CleanShotHQ LLC and is protected by United States copyright law, trade secret law, and other applicable intellectual property laws.

CleanShot Road Intelligence is registered with the United States Copyright Office. All rights not expressly granted in this EULA are retained by CleanShotHQ LLC.

Your notice must include: identification of the copyrighted work claimed to be infringed; identification of the allegedly infringing material; your contact information; a statement of good faith belief; a statement of accuracy under penalty of perjury; and your electronic or physical signature.

Use of the Software is subject to the CleanShotHQ LLC Privacy Policy available at cleanshothq.com/privacy. The Software transmits location data and road condition queries to CleanShotHQ LLC APIs in order to process alerts. This data is used solely to deliver the service and is subject to the protections described in the Privacy Policy.

The Software does not collect or transmit data without your active query. There is no background telemetry, advertising tracking, or data selling.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CleanShotHQ LLC does not warrant that the Software will be uninterrupted or error-free, or that road condition data will be accurate, complete, or current at all times. Weather and road data provided is for informational purposes only and does not replace the professional judgment of the driver or compliance with FMCSA regulations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEANSHOTHQ LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE.

CLEANSHOTHQ LLC'S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

This EULA is effective until terminated. Your rights under this EULA terminate automatically without notice from CleanShotHQ LLC if you breach any term of this agreement or if your active subscription expires or is cancelled.

Upon termination, you must cease all use of the Software and destroy all copies in your possession. Provisions that by their nature should survive termination will survive, including Sections 6, 8, 9, and 11.

This EULA is governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any dispute arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of Salem County, New Jersey.
